Affiliate Program Terms & Conditions
Effective date: October 1, 2026
Last updated: October 1, 2026
These Affiliate Program Terms & Conditions (the "Affiliate Terms") are entered into between CONTENT24 TECHNOLOGIES LIMITED, a company incorporated under the laws of the Republic of Cyprus, with registered office at 34 Falirou, 1st Floor, Office 103, 2066 Strovolos, Nicosia, Cyprus ("Content24", "we", "us" or "our"), and the natural person or legal entity participating in the Content24 Affiliate Program ("Affiliate", "you" or "your").
By applying for, accessing, or participating in the Content24 Affiliate Program (the "Program"), you agree to be bound by these Affiliate Terms. If you do not agree, you must not participate in the Program.
These Affiliate Terms supplement Content24's Terms of Use and Privacy Policy, as made available on content24.ai. To the extent you use the Content24 service, the Terms of Use also apply. If there is a conflict between these Affiliate Terms and the Terms of Use in relation to the Program, these Affiliate Terms prevail for that conflict.
1. Eligibility and Enrollment
1.1
You may participate in the Program if you are either (a) a natural person who is at least 18 years old or otherwise of legal age to enter into this agreement, or (b) a duly organized legal entity. Participation is undertaken solely in a commercial or professional capacity and not as a consumer.
1.2
You do not need to maintain a Content24 customer account to participate in the Program.
1.3
You must provide accurate and complete information requested for Program administration and payments. Content24 may request identity, business, tax, payment, KYC and/or KYB information at any time. Content24 may suspend payments or participation while reasonably required information remains outstanding or cannot be verified.
1.4
If you participate on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Affiliate Terms.
2. Affiliate Links and Qualified Referrals
2.1
Content24 may provide you with a unique referral link, code, URL or other tracking mechanism (an "Affiliate Link"). You are responsible for using the Affiliate Link correctly.
2.2
A customer is a "Qualified Referred Customer" only if all of the following conditions are met:
- the customer clicks a valid Affiliate Link and is recorded by Content24's tracking system;
- the customer registers for Content24 within thirty (30) days after that click;
- the customer becomes a paying Content24 customer within three (3) months after that registration; and
- the referral and resulting transaction otherwise comply with these Affiliate Terms.
2.3
If a customer clicks valid Affiliate Links belonging to more than one affiliate, the last valid Affiliate Link clicked before registration will receive attribution ("last-click attribution").
2.4
Only referrals recorded by Content24's tracking systems are eligible for Commission. Content24's records will control attribution and Commission calculations unless there is a manifest error. Content24 does not guarantee that tracking will function where cookies or other tracking technologies are blocked, deleted, disabled or otherwise prevented from operating.
3. Standard Revenue Share
3.1
Unless Content24 and the Affiliate agree otherwise in writing under Section 3.5, the standard Commission is twenty percent (20%) of Net Revenue generated by each Qualified Referred Customer.
3.2
The Affiliate earns the standard revenue share for a maximum period of twelve (12) months, beginning on the date Content24 first receives revenue from the Qualified Referred Customer (the "Revenue Share Period"). Commission begins to accrue when that customer first generates Net Revenue and may continue on qualifying Net Revenue generated during the Revenue Share Period, subject to these Affiliate Terms.
3.3
"Net Revenue" means amounts actually received by Content24 from a Qualified Referred Customer, excluding VAT and other applicable taxes, refunds, chargebacks, credits, discounts, fraudulent transactions, and self-referrals.
3.4
No Commission is earned on free accounts, free trials, transactions that do not generate Net Revenue, or transactions that are excluded or disqualified under these Affiliate Terms.
3.5
The standard commission structure under these Affiliate Terms applies unless Content24 and the Affiliate agree otherwise in writing. Content24 may offer selected Affiliates alternative commercial arrangements, including higher revenue share rates or cost-per-action ("CPA") arrangements. Any such alternative arrangement must be separately agreed in writing, including by email, between Content24 and the Affiliate. These Affiliate Terms continue to govern the Affiliate's participation in the Program, and any separately agreed commercial arrangement overrides these Affiliate Terms only with respect to the specific commercial terms expressly agreed between the parties. All other provisions of these Affiliate Terms remain unchanged and in full force and effect.
4. Payments, Minimum Payout and Taxes
4.1
The Program's accounting and payment currency is EUR.
4.2
Subject to these Affiliate Terms, Content24 will calculate payable Commission monthly and make payment within ten (10) Business Days after the end of each calendar month, provided that the Affiliate's payable balance has reached the minimum payout threshold and all required payment, tax and KYC/KYB information has been provided.
4.3
The minimum payout threshold is EUR 100. If the payable balance is below EUR 100, it will be carried forward until the threshold is reached. For a final payment following termination of these Affiliate Terms, valid Commission earned before the effective termination date will be paid in the next regular payment cycle even if the final balance is below EUR 100.
4.4
Payment methods may include bank transfer, PayPal, Skrill, and supported cryptocurrency payment methods. Available payment methods may depend on operational or provider availability.
4.5
"Business Day" means a day other than Saturday, Sunday or a public holiday in Cyprus on which banks are generally open for business in Cyprus.
4.6
You are solely responsible for your own taxes, social charges, reporting obligations, invoices and similar obligations arising from payments received under the Program. Content24 may make deductions or withholdings where required by applicable law.
4.7
If a refund, chargeback, credit, reversal, fraud determination or other disqualifying event occurs after related Commission has already been paid, Content24 may deduct or offset the corresponding amount from future Commission otherwise payable to you.
5. Affiliate Marketing Rules
5.1
You may promote Content24 through websites, social media, content channels, email, paid advertising and other lawful marketing channels, provided that your marketing complies with these Affiliate Terms, applicable law and the rules of the relevant platform or advertising network.
5.2
Paid advertising is permitted, but you must not bid on, purchase, target, or otherwise use "Content24", any Content24 trademark, any misspelling of a Content24 trademark, or any confusingly similar brand term as a paid-search keyword or other paid-advertising targeting term. You must not use advertising that falsely appears to be an official Content24 advertisement or that misrepresents your relationship with Content24.
5.3
You must clearly and conspicuously disclose your affiliate relationship wherever required by applicable advertising, consumer-protection or platform rules. Any endorsement or recommendation must be truthful and must not be misleading.
5.4
You must not make claims, promises, guarantees or representations regarding Content24, its products, pricing, performance or services that are false, misleading, unsubstantiated or not authorized by Content24.
6. Prohibited Activities
You must not, directly or indirectly:
- use self-referrals, including any purchase made by you or on your behalf through your own Affiliate Link;
- use incentivized leads or incentivized traffic, including offering money, rewards, cashback, credits, gifts or other benefits in exchange for clicking an Affiliate Link, registering, subscribing or purchasing;
- use bots, scripts, automated traffic, fake identities, fake accounts or other artificial methods to generate clicks, registrations, purchases or Commission;
- engage in cookie stuffing, forced clicks, adware, malware, click injection, hidden redirects or any other method that causes attribution without a genuine user-initiated referral;
- send spam, unsolicited bulk messages or other communications that violate applicable marketing or privacy laws;
- impersonate Content24 or any other person or business, or imply that you are an employee, agent, official representative or authorized reseller of Content24;
- use deceptive, fraudulent or misleading advertising or traffic-generation practices;
- infringe intellectual property, privacy, publicity or other third-party rights;
- promote Content24 through unlawful content or in a manner that violates applicable law; or
- attempt to circumvent these Affiliate Terms, Content24's tracking systems, fraud controls, eligibility rules or payment rules.
7. Content24 Brand and Intellectual Property
7.1
Subject to your compliance with these Affiliate Terms, Content24 grants you a limited, non-exclusive, revocable, non-transferable, non-sublicensable and royalty-free license during your participation in the Program to use Content24's name, approved trademarks, logos and marketing materials solely to promote Content24 under the Program.
7.2
You must use Content24 brand assets in accordance with any brand guidelines or instructions provided by Content24. You must not alter Content24 marks in a misleading manner, register any domain name or social media handle that is confusingly similar to a Content24 mark, or create the impression that your website, channel, advertisement or business is owned, operated or endorsed by Content24.
7.3
All rights in Content24's intellectual property remain with Content24 or its licensors. Any goodwill arising from your permitted use of Content24 marks accrues to Content24.
8. Compliance and Data Protection
8.1
You must comply with all laws and regulations applicable to your participation in the Program, including applicable advertising, consumer-protection, e-commerce, privacy, data-protection and electronic-marketing rules.
8.2
If you collect or process personal data in connection with your affiliate activities, you are independently responsible for having an appropriate legal basis, providing required privacy information and otherwise complying with applicable data-protection law, including the GDPR where applicable.
8.3
You must promptly provide reasonable information requested by Content24 to verify compliance with these Affiliate Terms, including information about traffic sources, ad placements, promotional methods and Affiliate Link placement.
9. Term, Suspension and Termination
9.1
These Affiliate Terms begin when you first apply for, access or participate in the Program and continue until terminated.
9.2
You may terminate your participation at any time by discontinuing participation and notifying Content24. Content24 may suspend or terminate your participation in the Program at any time, with or without cause, by electronic or written notice.
9.3
Content24 may suspend or terminate participation immediately if it reasonably believes that you have engaged in fraud, a prohibited activity, a material breach of these Affiliate Terms, or conduct that creates legal, compliance, security or reputational risk for Content24.
9.4
From the effective date of termination or suspension, no new Commission will accrue or become payable for revenue generated after that date, including revenue generated by customers referred before termination. Valid Commission earned before the effective termination date remains payable subject to these Affiliate Terms and any applicable refunds, chargebacks, credits, reversals or fraud adjustments.
9.5
Upon termination, you must stop using Affiliate Links and cease any use of Content24 marks that depends on the license granted under these Affiliate Terms.
9.6
Content24 may discontinue the Program, in whole or in part, at any time. Discontinuation of the Program will be treated as termination under this Section 9.
10. Relationship of the Parties
10.1
The parties are independent contractors. Nothing in these Affiliate Terms creates an employment relationship, partnership, joint venture, franchise, fiduciary relationship or agency relationship between you and Content24.
10.2
You have no authority to make commitments, enter into agreements or incur obligations on behalf of Content24.
10.3
Participation in the Program is non-exclusive. Either party may work with other partners, affiliates or competitors, subject to these Affiliate Terms and applicable law.
11. Confidentiality
If Content24 provides you with non-public information that is identified as confidential or that should reasonably be understood to be confidential, you must use that information only for your participation in the Program and must not disclose it to third parties except where required by law or expressly authorized by Content24. This obligation does not apply to information that is lawfully public through no breach by you.
12. Indemnification
To the extent permitted by applicable law, you will indemnify and hold harmless Content24, its affiliates, directors, officers, employees and agents from third-party claims, losses, liabilities, damages and reasonable costs arising out of or related to (a) your breach of these Affiliate Terms, (b) your affiliate marketing activities or content, (c) your violation of applicable law, or (d) your infringement or violation of a third party's rights.
13. Disclaimer and Limitation of Liability
13.1
The Program, Affiliate Links and related tracking or reporting functionality are provided on an "as is" and "as available" basis. Content24 does not guarantee any minimum level of conversions, revenue or Commission.
13.2
To the fullest extent permitted by applicable law, Content24 will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunity, goodwill or data, arising out of or relating to the Program.
13.3
To the fullest extent permitted by applicable law, Content24's aggregate liability arising out of or relating to the Program will not exceed the total Commission paid or payable to you under the Program during the twelve (12) months immediately preceding the event giving rise to the claim.
13.4
Nothing in these Affiliate Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.
14. Changes to the Program or these Affiliate Terms
Content24 may modify these Affiliate Terms or the Program from time to time. Content24 will provide notice of material changes by reasonable means, which may include email, notice through the Program, or publication of updated terms. Changes will take effect on the date stated in the notice or updated terms and will not reduce Commission already earned before that effective date. Continued participation after the effective date constitutes acceptance of the updated Affiliate Terms.
15. Governing Law and Jurisdiction
These Affiliate Terms are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict-of-law rules. To the extent permitted by applicable law, the courts of Cyprus have exclusive jurisdiction over any dispute arising out of or relating to these Affiliate Terms or the Program.
16. General
16.1 Entire Agreement
These Affiliate Terms, the Content24 Terms of Use and Privacy Policy, and any separately agreed commercial arrangement under Section 3.5 constitute the agreement between the parties concerning the Program. A separately agreed commercial arrangement under Section 3.5 prevails only with respect to the specific commercial terms it expressly modifies.
16.2 Assignment
You may not assign or transfer your rights or obligations under the Program without Content24's prior written consent. Content24 may assign these Affiliate Terms as part of a merger, reorganization, sale of business or transfer to an affiliate or successor.
16.3 Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in effect and the affected provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.
16.4 No Waiver
A failure or delay in enforcing any provision does not waive that provision or any other right.
16.5 Electronic Communications
Notices and agreements relating to the Program may be made electronically, including by email. You are responsible for keeping your contact information current.
16.6 Survival
Provisions that by their nature are intended to survive termination, including provisions concerning accrued payments and adjustments, intellectual property, confidentiality, indemnification, limitation of liability, governing law and general provisions, will survive termination.
